TERMS OF SERVICE

1. Company Overview

Gracen Group Enterprises LLC (“Company,” “we,” “our,” “us”) operates multiple brands and service divisions including:

1. Platform Overview

StoryHub360 (“Platform”) is a white-labeled software platform operated by Gracen Group Enterprises LLC.

StoryHub360 is powered by the GoHighLevel (GHL) infrastructure and provides:

  • CRM functionality

  • Marketing automation

  • Funnel building

  • Email and SMS communications

  • Workflow automation

  • Client management tools

  • Digital asset hosting

All core technology infrastructure is provided by GoHighLevel, LLC.

Gracen Group Enterprises LLC manages:

  • Branding

  • Client onboarding

  • Billing

  • Support

  • Agency-level configurations

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts.

By creating an account, you represent that:

  • All information provided is accurate

  • You have the authority to use the payment methods submitted

  • You will comply with applicable laws

3. Account Registration & Responsibility

You are responsible for:

  • Maintaining login confidentiality

  • All activity under your account

  • Securing your client data

  • Proper use of email/SMS communications

You may not:

  • Share login credentials

  • Resell platform access without written authorization

  • Attempt to reverse engineer platform infrastructure

4. Subscription Plans & Billing

a. Billing Structure

Subscriptions are billed monthly or annually via Stripe or an approved processor.

Payments are due at the start of each billing cycle.

Failure to maintain valid payment information may result in automatic suspension.

b. Setup Fees

If applicable, setup or onboarding fees are:

  • One-time

  • Non-refundable once onboarding begins

c. Refund Policy

Because StoryHub360 provides immediate access to licensed software:

  • Subscription fees are non-refundable

  • Setup fees are non-refundable

  • Partial billing cycles are not prorated

If a billing error occurs, you must notify support within ten (10) business days.

5. Cancellations

You may cancel at any time by:

  • Submitting written notice to support

  • Canceling within your account portal

To avoid renewal charges, cancellation must be submitted at least three (3) business days before your billing date.

Access continues until the end of the current billing cycle.

6. Nonpayment & Suspension

If payment fails:

  • Account access may be suspended automatically.

  • SMS/email sending may be disabled.

  • Automations may pause.

Accounts not restored within thirty (30) days may be permanently closed.

Outstanding balances remain due

7. Data Ownership

You retain ownership of:

  • Contacts

  • Uploaded media

  • Client messages

  • Funnels you build

  • Custom workflows you create

Gracen Group Enterprises LLC acts as a data processor.

We will not access, use, or disclose your data except:

  • For support or troubleshooting

  • For platform maintenance

  • When required by law

You are responsible for seeking appropriate licensed professionals where needed.

8. Data Retention After Cancellation

Upon cancellation:

  • Data will be retained for up to sixty (60) days.

  • After 60 days, data may be permanently deleted.

You are responsible for exporting your data prior to termination.

We are not liable for data loss after the retention window expires.

9. Data Transfers to Another GHL Agency

If you request a transfer of your sub-account to another GoHighLevel agency:

The following conditions apply:

  1. Your account must be in good financial standing.

  2. A written request must be submitted.

  3. The receiving agency must confirm transfer readiness.

Administrative transfer fees may apply.

Only client-generated content is transferable.

Platform templates, proprietary automations, and agency-built assets remain the intellectual property of Gracen Group Enterprises LLC.

  • Use our content for unlawful purposes

  • Misrepresent our frameworks as your own

  • Share paid materials outside authorized access

  • Attempt to breach platform security

  • Harass other community members

We reserve the right to suspend or restrict access if misuse occurs.

8. Media & Recording Notice

We may record:

  • Live workshops

  • Writing rooms

  • Community calls

  • Virtual events

By participating, you consent to potential recording.

We may use recordings, testimonials, screenshots, and feedback for educational and promotional purposes unless you provide written notice prior to participation requesting exclusion.

Confidential private coaching sessions are not shared without explicit permission.

9. Limitation of Liability

To the fullest extent permitted by law, Gracen Group Enterprises LLC shall not be liable for:

  • Lost profits

  • Lost revenue

  • Business interruption

  • Publishing delays

  • Software outages

  • Indirect or consequential damages

Your use of our services is at your own risk.

Total liability shall not exceed the amount paid to us within the previous twelve (12) months.

10. Independent Contractor Relationship

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and the Company.

You are solely responsible for your business decisions and implementation of strategies.

11. Third-Party Services

We may integrate with or reference third-party platforms, including

SMS Messaging Terms

The StoryHub360 Messaging Program provides service-related text messages, including:

  • Account alerts

  • Onboarding reminders

  • System notifications

  • Support messages

  • Product updates

  • Training information

  • Service-related announcements

We do not send mobile marketing or promotional SMS messages.

Opt-In Consent

By providing your mobile number and opting in via a website form, a checkbox, a checkout page, or a messaging keyword, you agree to receive SMS messages related to your account and services.

Opt-Out Instructions

You may cancel the SMS service at any time.

To stop receiving messages, text:“STOP.”

After sending “STOP,” you will receive one final SMS confirming that your opt-out request has been processed. After this confirmation message, you will no longer receive SMS messages from us.

How to Rejoin After Opting Out

If you previously opted out of receiving SMS communications, you may rejoin at any time by completing a new SMS opt-in process (such as submitting a website form, updating your account preferences, or using an approved keyword opt-in method).

You may also re-subscribe by texting START to our business number. Upon successful re-enrollment, you will begin receiving SMS messages again in accordance with your consent preferences.

Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages.

This applies to all wireless carriers participating in message delivery.

Message & Data Rates Disclaimer

Message and data rates may apply for messages sent to you from us and messages you send to us.

Message frequency may vary depending on account activity and service updates.

For questions about your text or data plan, contact your wireless provider.

11. Acceptable Use Policy

You may not use StoryHub360 to:

  • Send spam or unsolicited communications

  • Engage in fraudulent marketing

  • Promote illegal products/services

  • Infringe intellectual property

  • Circumvent platform security

A violation may result in immediate termination without a refund.

StoryHub360 integrates with:

  • GoHighLevel

  • Stripe

  • Twilio

  • SendGrid

  • Meta

  • Google

Your use of integrated features is subject to each provider’s terms and conditions.

We are not responsible for third-party outages, pricing changes, or service disruptions

We strive for reliable service, but do not guarantee uninterrupted access.

Downtime may occur due to:

Platform maintenance

Infrastructure updates

Third-party provider issues

Internet disruptions

We are not liable for business losses due to outages.

14. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We make no warranties regarding:

Fitness for a particular purpose

Revenue results

Deliverability rates

Business performance

15. Limitation of Liability

To the fullest extent permitted by law:

Gracen Group Enterprises LLC shall not be liable for:

Lost profits

Lost revenue

Data loss

Business interruption

Indirect or consequential damages

Total liability is limited to payments made in the previous twelve (12) months.

16. Compliance With Laws

You agree to comply with all applicable federal, state, and local laws regarding electronic communications, intellectual property, and data privacy, including but not limited to:

CAN-SPAM Act

Telephone Consumer Protection Act (TCPA)

General Data Protection Regulation (GDPR)

California Consumer Privacy Act (CCPA)

You are solely responsible for ensuring compliance when using StoryHub360 to communicate with your contacts.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Williamson County, Texas.

18. Modifications

We may update these Terms at any time.

Continued use of StoryHub360 constitutes acceptance of updated terms.
